This is the first real decision of a UAE setup and most people make it on price, which is the one input that matters least. Mainland and free zone differ on who you are allowed to sell to. Everything else follows from that.
Below is the comparison without the marketing on either side, including the parts a free zone will not tell you and the parts a mainland consultant will not.
The one difference that decides it
A free zone company trades inside its own zone and internationally. It does not invoice mainland UAE customers directly, in most cases. A mainland company sells to anyone in the country and can bid for government work.
Side by side
| Free zone | Mainland | |
|---|---|---|
| Sell to mainland UAE customers | Not directly, in most cases | Yes |
| Sell internationally | Yes | Yes |
| Government contracts | Generally no | Yes |
| Foreign ownership | 100% | 100% on most activities since 2021 |
| Premises | Desk or flexi-desk often enough | Registered tenancy generally required |
| Visa quota | Often tied to the facility you take | Tied to premises size |
| Entry price | Lower | Higher |
| Corporate tax | 9%, with 0% available on qualifying income only | 9% above the threshold |
| Activity range | Zone-specific lists | Very wide |
Where the price difference actually is
The licence gap is real but smaller than the premises gap. Through us a free zone licence starts at AED 4,499 and a Dubai mainland licence at AED 10,999. The structural difference is that a mainland licence generally needs premises with a registered tenancy, and that is an annual cost with a deposit attached, recurring for as long as the company exists.
For a consultant with no staff, that tenancy can double the first-year cost. For a business that needs premises anyway, it is a cost it was going to carry regardless, and the comparison changes completely.
Four cases, and what we would actually advise
- A consultant with clients in Europe and the Gulf. Free zone. The mainland access buys nothing and the premises requirement costs real money. SPC or SHAMS depending on activity.
- An online shop selling to UAE consumers. This one is genuinely contested. Marketplace and delivery arrangements can bridge it, but selling directly and at scale into the mainland points to a mainland licence.
- A cleaning or maintenance company serving Dubai buildings. Mainland, without hesitation. Your customers are mainland entities and the work is physically on the mainland.
- A trading company importing and re-exporting. Free zone, and probably one with facilities — RAKEZ rather than a media zone.
The tax answer, which is not what you have been told
"Free zones are tax-free" is the most repeated inaccuracy in this market. A free zone company registers for corporate tax and files a return like any other. The 0% rate applies to qualifying income earned by a Qualifying Free Zone Person, both defined terms with conditions including substance, audited accounts and transfer pricing documentation.
Fail those conditions and you lose the status for that period and the four that follow. What qualifying income really means sets out the detail, and the Federal Tax Authority publishes the rules. For a company under AED 3 million in revenue, Small Business Relief is often the simpler route and it is available on the mainland too.
What changing your mind costs
Moving between the two is a new licence rather than a conversion, in most cases: new establishment card, new visas, new bank account, and the old company to close. That is the real argument for settling this before you file rather than after, and it is why we ask about customers before we ask about budget.
Where to go next
Mainland business setup covers the mainland route end to end. The free zone comparison puts the five zones we are asked about most side by side. If you want the case against free zones specifically, the disadvantages of a free zone company is the honest version, and the cost calculator prices either route.
Mainland or free zone
Not directly, in most cases. It sells inside its zone and internationally without restriction. Reaching mainland customers means appointing a distributor or holding a mainland licence, and the distributor arrangement usually costs more than the licence difference.
Not for most activities. Full foreign ownership has been available on the mainland since the 2021 reforms, though a small number of strategic activities remain restricted. Check your specific activity rather than the general rule.
Free zone on licence price, and by more once premises are counted, because a mainland licence generally requires a registered tenancy. Whether it is cheaper for your business depends on whether it can serve your customers.
No. They register and file like everyone else. A Qualifying Free Zone Person can access 0% on qualifying income if it meets conditions on substance, audit and transfer pricing. Non-qualifying income is taxed at 9%, and enough of it costs the status.
It is generally a new company rather than a conversion: new licence, establishment card, visas and bank account, plus closing the old one. Budget for it as a setup, not an amendment.
Neither reliably. Bank appetite varies by bank, by activity and by jurisdiction, and it changes. It is one of the reasons we make the introduction rather than leaving the application to the client.
